Welcome to Flow Goby. These Terms and Conditions ("Terms") govern your access to and use of the Flow Goby website and your purchase of products from Flow Goby LLC ("Flow Goby," "we," "us," or "our").

By accessing or using the website, creating an account, or placing an order, you agree to these Terms. If you do not agree to these Terms, please do not use the website or place an order.

1. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction, whichever is applicable, to make purchases from Flow Goby.

By using the website or placing an order, you represent that you meet the applicable age requirement and have the legal capacity to enter into these Terms.

2. Products and Availability

Flow Goby sells aquarium supplies, reptile supplies, habitat equipment, accessories, and related products.

All products are subject to availability. We reserve the right to discontinue products, limit quantities, restrict purchases, or otherwise modify product availability at any time.

Product photographs, descriptions, specifications, measurements, colors, weights, dimensions, and other product information are provided for informational purposes. While we make reasonable efforts to provide accurate and current information, product information may contain errors, omissions, variations, or changes provided by manufacturers or suppliers.

Certain products may have product-specific requirements, restrictions, warnings, or limitations that are disclosed on the applicable product page, packaging, manufacturer documentation, or our Shipping & Returns Policy.

3. Orders and Order Acceptance

Your submission of an order through the website constitutes an offer to purchase the selected products. Submission of an order does not guarantee that Flow Goby will accept the order.

An order is accepted when Flow Goby sends an order confirmation or otherwise confirms acceptance of the order. Flow Goby reserves the right to decline or cancel an order before or after an order confirmation when reasonably necessary under the circumstances described below and to the extent permitted by applicable law.

Flow Goby may cancel an order or part of an order for reasons including:

- Payment authorization failure;
- Suspected fraud or an unauthorized transaction;
- Incorrect pricing;
- Product information or listing errors;
- A product becoming unavailable;
- Inventory errors;
- Shipping restrictions;
- An incorrect or incomplete shipping address provided by the customer;
- Violation of these Terms;
- Abuse of promotions, coupons, discounts, or quantity limits; or
- Other circumstances reasonably necessary to prevent fraud, abuse, or legal or compliance issues.

If Flow Goby cancels an order, the customer will receive a full refund of amounts actually paid for the canceled order or canceled portion of the order, subject to any applicable rights or remedies required by law.

Flow Goby reserves the right to correct pricing, product information, inventory, and listing errors and to cancel and fully refund an order rather than honor an erroneous price or product listing.

Flow Goby may impose reasonable quantity limits on products, including limits applicable to individual customers, households, accounts, orders, shipping addresses, payment methods, or promotional offers. We may cancel or restrict orders that we reasonably believe are intended to circumvent such limits, facilitate resale, or abuse promotional offers.

4. Customer Order Cancellations

Customers may request cancellation of an order before the order has shipped. However, cancellation cannot be guaranteed once order processing or fulfillment has begun.

To request cancellation, customers should contact Flow Goby as promptly as possible using the contact information provided below.

If Flow Goby is unable to cancel an order before fulfillment or shipment, the order will remain subject to the applicable Shipping & Returns Policy and these Terms.

5. Shipping and Delivery

Flow Goby currently ships products within the 48 contiguous United States and the District of Columbia, subject to applicable product, carrier, geographic, and shipping restrictions.

We may use USPS, UPS, FedEx, or other shipping carriers at our discretion.

Shipping charges are generally calculated as flat-rate charges determined by Flow Goby. Shipping rates may generally be based on an estimated billable weight, package dimensions, destination, carrier costs, product characteristics, and other factors.

Normal order processing generally occurs the same business day, but processing may sometimes take one to two business days. Processing times vary by product and may be displayed on the applicable product page or elsewhere on the website.

Processing times are separate from carrier transit times. Shipping estimates provided by Flow Goby are estimates and are not guaranteed delivery dates unless expressly stated otherwise.

Flow Goby is not responsible for delays caused by shipping carriers, weather, natural disasters, transportation disruptions, customs or governmental actions, incorrect customer information, or other circumstances outside Flow Goby's reasonable control.

Orders may be shipped in multiple packages or partial shipments depending on the products contained in the order, inventory availability, fulfillment requirements, or other circumstances.

Flow Goby may ship to PO Boxes upon customer request, but PO Box delivery is available only through USPS and only for products eligible for PO Box delivery.

Certain products may be subject to geographic, carrier, size, weight, hazardous-material, packaging, or other shipping restrictions. Flow Goby reserves the right to refuse or cancel shipments that cannot reasonably or lawfully be delivered to the requested destination.

Delivery Issues and Damaged Shipments

Customers should promptly contact Flow Goby if tracking indicates that an order has been delivered but the package cannot be located. Flow Goby may work with the applicable carrier to investigate the shipment and may, at its discretion and subject to applicable law, offer a replacement, refund, carrier claim assistance, or another reasonable resolution.

Customers should inspect shipments promptly upon delivery, particularly fragile products such as glass aquariums.

For fragile products and other products subject to special delivery-damage requirements, customers must inspect the product before the delivery driver leaves and have visible damage noted on the delivery record or delivery receipt.

Customers must contact Flow Goby promptly, and generally within 24 hours after receiving a damaged shipment, with photographic evidence of the damaged packaging and product.

Failure to follow the required delivery-damage procedure will affect eligibility for a return, replacement, or refund, particularly for products subject to special shipping-damage requirements.

Our Shipping & Returns Policy provides additional instructions and requirements concerning damaged shipments, delivery claims, returns, refunds, and replacements.

6. Returns, Refunds, and Replacements

Unless otherwise stated for a particular product, eligible returns may be requested within 30 days of delivery.

Returned products must be:

- Unused;
- Unopened;
- Undamaged;
- In their original packaging; and
- Returned with all original accessories, components, documentation, and other included materials.

Customers are responsible for return shipping costs for ordinary returns, including returns based on a change of mind or the customer ordering the wrong product.

Shipping charges originally paid by the customer are generally not refundable for ordinary returns.

A 15% restocking fee may be deducted from refunds for eligible ordinary product returns.

Flow Goby will generally pay reasonable return shipping costs and will not charge a restocking fee when the return is due to Flow Goby's error, including when the product is defective, damaged during shipment when the applicable damage-reporting requirements were followed, or incorrectly shipped by Flow Goby.

For eligible product issues, customers may generally choose between a replacement and a refund, subject to reasonable troubleshooting where appropriate and subject to product availability and the applicable manufacturer's requirements.

Refunds are generally processed within 5–7 business days after Flow Goby receives and processes the returned product, although the time for the refund to appear in the customer's account may vary depending on the customer's payment provider or financial institution.

Flow Goby generally does not provide product exchanges as a standard return option. Customers seeking a different product may return the eligible product for a refund and place a new order.

In limited circumstances, Flow Goby may, at its discretion, offer an exchange or replacement product at no additional product cost, particularly where a qualifying delivery-damage issue has been properly reported.

Final Sale, Clearance, and Certain Fragile Products

Clearance and final-sale products are non-refundable and non-returnable for any reason other than a qualifying defect, incorrect shipment, or qualifying shipping damage, subject to applicable law.

Certain fragile products, including glass aquariums and similar products that present heightened shipping risk, may be subject to stricter return and refund requirements.

For products identified as subject to special shipping-damage requirements, the customer must inspect the product upon delivery and have any damage noted with the delivery driver before the driver leaves.

Unless otherwise required by applicable law, damage to a qualifying fragile product that is not noted with the delivery driver as required may not qualify for a return, replacement, or refund.

The specific return, refund, replacement, and damage-claim requirements applicable to these products are described in our Shipping & Returns Policy and, where applicable, on the relevant product page.

7. Product-Specific Policies

Certain products may be subject to product-specific return, refund, replacement, shipping, delivery-damage, warranty, or other requirements disclosed on the applicable product page and/or in our Shipping & Returns Policy.

By purchasing a product subject to such requirements, you acknowledge and agree to the applicable requirements as part of the conditions of purchase, subject to any rights or remedies that cannot lawfully be waived or limited.

Our Shipping & Returns Policy provides additional operational instructions concerning shipping, damaged deliveries, returns, refunds, replacements, and related matters.

8. Pricing, Taxes, and Payments

All prices are listed in U.S. Dollars unless otherwise stated.

Prices, product availability, shipping charges, and other charges may change at any time.

Applicable sales taxes and other legally required charges may be added to your order at checkout.

We accept payment methods made available through the website at checkout.

Payment authorization may be required before an order is accepted or fulfilled.

Flow Goby may cancel or restrict an order when payment authorization fails, payment information appears unauthorized or fraudulent, or reasonably necessary fraud-prevention or compliance measures require such action.

9. Product Warranties and Use

Flow Goby does not provide a separate or independent warranty for products sold through the website unless a specific written warranty is expressly provided by Flow Goby for a particular product.

Certain products may be covered by a manufacturer's warranty. Any applicable manufacturer warranty is provided by the applicable manufacturer and is subject to that manufacturer's terms, conditions, limitations, exclusions, and warranty procedures.

The existence of a manufacturer's warranty does not mean that Flow Goby provides or assumes the manufacturer's warranty obligations.

Where reasonably possible, Flow Goby may assist customers in contacting or communicating with a manufacturer regarding a warranty claim as a courtesy. Such assistance does not make Flow Goby a guarantor, warrantor, insurer, or otherwise responsible party under the manufacturer's warranty.

Warranty eligibility may be affected by misuse, abuse, improper installation, improper maintenance, unauthorized modification, accident, neglect, failure to follow manufacturer instructions, use outside the product's intended purpose, or other circumstances identified by the applicable manufacturer.

Customers should review and follow all applicable manufacturer instructions, warnings, operating requirements, installation procedures, maintenance requirements, and safety information before using a product.

Animal Care and Product Use

Products sold by Flow Goby may be used in connection with aquariums, reptiles, other animals, and their habitats. Flow Goby does not guarantee that any particular product, equipment configuration, habitat setup, or use of a product will prevent injury, illness, death, escape, property damage, or other loss involving an animal or habitat.

Customers are responsible for determining whether a product is appropriate for their particular animal, aquarium, enclosure, habitat, environment, and intended use. Customers are also responsible for properly installing, operating, monitoring, and maintaining products and for taking appropriate precautions to protect animals and property.

Certain products, including equipment that affects temperature, lighting, water quality, filtration, circulation, or other environmental conditions, may require regular monitoring and backup or contingency measures appropriate to the customer's particular setup. Flow Goby does not guarantee that such equipment will operate continuously or without failure.

Nothing in this section excludes or limits any warranty, right, remedy, or liability that cannot lawfully be excluded or limited under applicable law.

10. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Flow Goby website and its content are provided on an "as available" basis, without warranties of any kind except as expressly provided in these Terms or otherwise required by applicable law.

Flow Goby does not warrant or guarantee that:

- The website will be available at all times or without interruption;
- The website will be error-free or that errors will always be corrected;
- Website content will always be complete, current, or accurate;
- The website will be free from viruses, malware, or other harmful components;
- The website will meet every customer's particular requirements or expectations; or
- Products will be available at all times.

Flow Goby does not provide any independent product warranty except where expressly stated in writing. Applicable manufacturer warranties, if any, are governed by the applicable manufacturer's terms and conditions.

Nothing in these Terms excludes or limits any warranty, representation, right, or remedy that cannot lawfully be excluded or limited under applicable law.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Flow Goby, its owners, members, officers, managers, employees, agents, affiliates, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, data, goodwill, or other intangible losses arising out of or related to:

- Your use of or inability to use the website;
- Your purchase, use, misuse, installation, or inability to use a product;
- Product malfunction or failure;
- Shipping or delivery delays;
- Loss, theft, or misdelivery of products after confirmed delivery;
- Damage to an aquarium, reptile enclosure, habitat, animal, equipment, property, or other item arising from product use;
- Website interruptions, errors, or security incidents; or
- Any other matter arising out of or relating to the website, products, orders, or these Terms,

even if Flow Goby has been advised of the possibility of such damages, except to the extent such limitation is prohibited by applicable law.

To the fullest extent permitted by applicable law, Flow Goby's total aggregate liability arising out of or relating to a particular product, order, or claim will not exceed the total amount actually paid by the customer to Flow Goby for the product giving rise to the claim.

The limitations in this section apply regardless of the legal theory on which a claim is based, including contract, warranty, tort, negligence, strict liability, or otherwise, to the fullest extent permitted by law.

Nothing in these Terms excludes or limits liability, rights, or remedies that cannot lawfully be excluded or limited under applicable law.

12. User Accounts

Customers may have the option to create and maintain an account through the Flow Goby website.

Customers are responsible for providing accurate, complete, and current account and personal information and for keeping that information updated.

Customers are responsible for maintaining the confidentiality of their account credentials and for activity conducted through their account.

Customers should notify Flow Goby promptly if they believe their account has been accessed or used without authorization.

Flow Goby may suspend, restrict, or terminate an account when reasonably necessary due to a violation of these Terms, suspected fraud or unauthorized activity, abuse of promotions or payment systems, security concerns, illegal activity, or other conduct that may harm Flow Goby, its customers, or the website.

Account suspension or termination does not affect rights or obligations that accrued before the suspension or termination or any rights or remedies that cannot lawfully be limited or terminated.

13. Prohibited Conduct

You may not use the Flow Goby website to:

- Violate any applicable law, regulation, or legal requirement;
- Commit or attempt to commit fraud, theft, or other unlawful activity;
- Use another person's account, identity, payment information, or personal information without authorization;
- Submit false, misleading, fraudulent, or materially inaccurate information;
- Engage in fraudulent, knowingly false, or abusive payment disputes or chargebacks;
- Abuse promotional codes, discounts, coupons, referral offers, quantity limits, or other promotions;
- Create or use multiple accounts or other methods to circumvent purchase limits, promotional restrictions, account restrictions, or other website rules;
- Use automated purchasing systems, bots, scripts, or similar tools to obtain products, circumvent limits, or interfere with normal purchasing activity;
- Scrape, crawl, harvest, copy, or systematically collect website content or data without Flow Goby's prior written permission, except where expressly permitted by applicable law or standard search-engine indexing practices;
- Attempt to gain unauthorized access to the website, customer accounts, servers, databases, systems, or other technology;
- Circumvent, disable, interfere with, or attempt to defeat security features or other technological protections;
- Introduce viruses, malware, malicious code, or other harmful material;
- Interfere with or disrupt the operation, security, or performance of the website;
- Exploit pricing, inventory, product-information, technical, or other website errors for an improper purpose;
- Upload, transmit, or distribute content that is unlawful, fraudulent, defamatory, threatening, abusive, harassing, or otherwise harmful;
- Infringe or misappropriate the intellectual property, privacy, publicity, or other rights of Flow Goby or any third party; or
- Attempt to do any of the foregoing or assist another person in doing so.

Flow Goby may investigate suspected violations of these Terms and may take appropriate action, including canceling orders, restricting purchases, suspending or terminating accounts, removing content, or taking other action reasonably necessary to protect Flow Goby, its customers, or its systems, subject to applicable law.

Nothing in this section limits any rights or remedies that cannot lawfully be excluded or limited.

14. User-Generated Content and Reviews

Flow Goby may allow customers and other users to submit or post product reviews, product photographs, product videos, questions and answers, comments, testimonials, and other content through the website or in connection with Flow Goby's products (collectively, "User Content").

You retain ownership of User Content that you submit. However, by submitting User Content to Flow Goby, you grant Flow Goby a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, display, distribute, publish, modify, adapt, format, translate, create derivative works from, and otherwise use the User Content for purposes related to operating, promoting, marketing, and improving Flow Goby, its website, products, and business.

This license may include displaying User Content on product pages, the Flow Goby website, marketing emails, social media, advertisements, promotional materials, and other channels used by Flow Goby.

Flow Goby does not acquire ownership of your User Content solely because you submit it.

You represent and warrant that:

- You own the User Content or have all rights, permissions, and authorizations necessary to submit it and grant the license described above;
- Your User Content does not infringe or misappropriate another person's intellectual property, privacy, publicity, or other rights;
- Your User Content does not contain another person's private or sensitive personal information without appropriate authorization;
- Your User Content does not violate applicable laws or regulations;
- Your User Content is not knowingly false, fraudulent, deceptive, or misleading; and
- Your User Content does not contain malicious software, harmful code, or malicious links.

You should not submit personal information about another person, including private contact information, without that person's authorization.

Flow Goby may review, moderate, restrict, or remove User Content that it reasonably determines:

- Violates these Terms or applicable law;
- Is fraudulent, deceptive, or knowingly false;
- Infringes or misappropriates another person's rights;
- Contains unauthorized personal or sensitive information;
- Contains spam, malicious links, or harmful material;
- Is obscene, threatening, abusive, harassing, or otherwise inappropriate;
- Is unrelated to the applicable product or discussion; or
- Otherwise creates a reasonable legal, security, or operational concern for Flow Goby.

Flow Goby does not have an obligation to monitor or review all User Content.

Flow Goby may moderate or remove User Content for legitimate reasons described above, but does not reserve the right to remove a legitimate review solely because the review is negative, unfavorable, or critical of Flow Goby or one of its products.

User Content reflects the opinions and experiences of the person who submitted it and does not necessarily represent the views or opinions of Flow Goby. Flow Goby does not guarantee the accuracy, completeness, or reliability of User Content submitted by customers or other users.

15. Intellectual Property

The Flow Goby name, logos, trademarks, service marks, trade dress, website design, original photographs, graphics, written content, product descriptions, marketing materials, and other original materials created or provided by Flow Goby (collectively, "Flow Goby Content") are owned by Flow Goby or are used by Flow Goby under applicable rights or licenses.

Except as expressly permitted by these Terms or with Flow Goby's prior written permission, you may not copy, reproduce, modify, adapt, distribute, publish, transmit, display, perform, sell, license, create derivative works from, commercially exploit, or otherwise use Flow Goby Content.

You may view, download, or print reasonable portions of website content for your personal, non-commercial use in connection with researching, evaluating, or purchasing Flow Goby products, provided that you do not remove proprietary notices or use the content for commercial purposes.

Flow Goby's name, logos, trademarks, service marks, trade dress, and other branding may not be used without Flow Goby's prior written permission, except where permitted by applicable law.

Flow Goby's original product photographs, graphics, written content, and other original materials may not be copied or reused for commercial purposes, including use on another retailer's website, marketplace listing, advertisement, catalog, social media account, or other commercial channel, without Flow Goby's prior written permission.

Product names, manufacturer names, logos, trademarks, product photographs, specifications, and other materials belonging to manufacturers, suppliers, or other third parties remain the property of their respective owners. Nothing in these Terms transfers ownership of third-party intellectual property to Flow Goby or to customers.

Nothing in this section grants you any ownership interest in Flow Goby Content or any Flow Goby intellectual property.

16. Third-Party Services and Links

Flow Goby may use or rely upon third-party service providers and platforms in connection with operating the website and fulfilling customer orders. These third-party services may include payment processing, shipping and delivery, website functionality, hosting, analytics, customer communications, product reviews, advertising, security, and other business or technical services.

Third-party services may be subject to their own terms, conditions, policies, and privacy practices. Your use of or interaction with a third-party service may therefore be governed by the applicable third party's terms and policies in addition to these Terms.

The Flow Goby website may contain links to websites, applications, products, or services operated or provided by third parties. These links are provided for convenience and do not necessarily constitute an endorsement, sponsorship, or recommendation by Flow Goby.

Flow Goby does not control and is not responsible for the availability, content, accuracy, security, privacy practices, products, services, policies, or practices of third-party websites, applications, or services.

If you access or use a third-party website, application, product, or service through a link or integration provided on the Flow Goby website, you do so at your own discretion and subject to the applicable third party's terms and policies.

Nothing in this section limits any rights or remedies that cannot lawfully be excluded or limited.

17. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Flow Goby LLC and its owners, members, officers, managers, employees, agents, affiliates, contractors, and service providers from and against third-party claims, demands, actions, proceedings, damages, liabilities, judgments, losses, costs, and reasonable expenses, including reasonable attorneys' fees and court costs, arising out of or relating to:

- Your violation of these Terms;
- Your violation of any applicable law, regulation, or legal requirement;
- Your User Content;
- Your misuse of or unauthorized use of the website;
- Your actual or alleged infringement, misappropriation, or violation of another person's intellectual property, privacy, publicity, or other rights; or
- Your fraudulent, unauthorized, or unlawful activity.

Flow Goby may assume control of the defense and settlement of any claim subject to indemnification, and you agree to reasonably cooperate with Flow Goby in the defense of such claim.

Flow Goby will not settle an indemnified claim in a manner that imposes a non-monetary obligation, admission of wrongdoing, or other material obligation directly upon you without your consent, which will not be unreasonably withheld, conditioned, or delayed.

Your indemnification obligations apply only to the extent permitted by applicable law and do not require you to indemnify Flow Goby for matters that cannot lawfully be subject to indemnification.

This section does not limit any rights or remedies that cannot lawfully be excluded or limited.

18. Privacy

Your use of the Flow Goby website is also subject to our Privacy Policy, which explains how Flow Goby collects, uses, discloses, and protects personal information.

The Privacy Policy may be updated from time to time to reflect changes in our practices, applicable law, technology, or the services and features we provide. The Privacy Policy is incorporated into these Terms by reference only to the extent appropriate and permitted by applicable law.

19. Governing Law and Disputes

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Flow Goby website, or a transaction between you and Flow Goby will be governed by and interpreted in accordance with the laws of the State of Arizona, without regard to its conflict-of-laws principles, except to the extent otherwise required by applicable law.

Before initiating formal legal proceedings concerning a dispute, you agree to first contact Flow Goby and provide a reasonable opportunity to attempt to resolve the dispute informally. Nothing in this provision prevents either party from seeking emergency or provisional relief when reasonably necessary to protect its rights or interests.

To the fullest extent permitted by applicable law, any lawsuit or other court proceeding arising out of or relating to these Terms, the website, or a transaction between you and Flow Goby must be brought in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of those courts and agree that Maricopa County, Arizona is a proper and convenient venue for such proceedings.

Nothing in this section prevents a customer from bringing an eligible claim in a court of appropriate jurisdiction, including a small claims court, where permitted by applicable law.

The parties expressly agree that there is no mandatory arbitration requirement or class-action waiver under these Terms unless a separate written agreement expressly provides otherwise.

Nothing in this section limits any rights or remedies that cannot lawfully be excluded or limited.

20. Changes to These Terms

Flow Goby may update, revise, or modify these Terms from time to time. Revised Terms will become effective when posted on the website unless a different effective date is expressly stated.

The Terms in effect at the time an order is accepted will generally govern that transaction, including applicable provisions concerning pricing, cancellation, returns, refunds, shipping, and other order-related matters, unless otherwise required by applicable law.

For material changes to these Terms, Flow Goby may provide additional notice through reasonable means, including posting a notice on the website, sending an email, or providing a notification through a customer account. Flow Goby is not required to provide individual notice of every change.

Your continued use of the website after revised Terms become effective constitutes your acceptance of the revised Terms with respect to your future use of the website and future transactions.

If you do not agree to revised Terms, you should discontinue your use of the website.

21. General Provisions

Electronic Communications

By using the website, creating an account, placing an order, or otherwise providing contact information to Flow Goby, you consent to receiving electronic communications from Flow Goby regarding your orders, account, payments, shipping, returns, customer service matters, legal notices, policy updates, and other matters relating to your use of the website or transactions with Flow Goby.

Electronic communications may include emails, account notifications, website notices, and other electronic messages. Where applicable law requires a particular form of notice or consent, Flow Goby will provide such notice or obtain such consent in the manner required by law.

Flow Goby may assign, transfer, or delegate its rights and obligations under these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, sale of the business, transfer of substantially all of its assets, or other business transaction.

You may not assign, transfer, or delegate your rights or obligations under these Terms without Flow Goby's prior written consent, except to the extent such restriction is prohibited by applicable law.

Severability
